Director Ronald Simonian is an expert in strategic consulting, merger and acquisition consulting, and accounting and auditing. He previously worked with a national CPA firm and has been with Shea Labagh Dobberstein for fifteen years.

Mr. Simonian also works with a number of non-profit organizations, labor unions and related pension and health and welfare trust funds in providing audit and accounting services and tax compliance work. In this capacity, he is a frequent speaker at Board meetings and events regarding annual report issues, tax compliance and other industry issues.

• Identifying and setting up an innovative compensation structure for a group of companies:
  
  A group of four related entities, one being a non-profit organization, was interested in creating an innovative incentive compensation structure. The structure was to be designed such that management members in the various entities would be rewarded based on the attainment of specific, measurable goals. Key to the design was structuring a plan that vested over years, so as to attract and retain management members. Mr. Simonian worked with the key executive directors and outside counsel to design a "Unit Appreciation Rights" plan. The Plan, modeled after a traditional Stock Appreciation Rights Plan, was implemented recently and has been well received by management personnel.
  
  
• Analysis of acquisition opportunities:
  
  Mr. Simonian worked with a Bay Area entrepreneur who wanted to acquire a distribution or manufacturing company. Over a two-year period a number of potential acquisition candidates were identified and analyzed. Mr. Simonian's background in valuation and appraisal of small and mid-market businesses proved beneficial to the entrepreneur, as purchase negotiations with one company proved fruitful. Mr. Simonian, along with members of the Firm's tax department, provided expertise throughout the acquisition process in structuring the transaction.

Ronald Simonian is a CPA and a member of the AICPA and the California Society of CPAs. He received a BA in Business Economics, emphasis in Accounting, from the University of California at Santa Barbara. Mr. Simonian has two sons, Nicholas and Timothy and a daughter, Megan.
